1. SCOPE AND ACCEPTANCE OF TERMS

Before deciding to use the website or avail the services provided on the website by Doctors Hub Nepal, it is advised that you read these terms of use (“Terms”) and the privacy policy available at https://www.doctorshubnepal.com/company/privacy (“Privacy Policy”) carefully. The Terms and the Privacy Policy together form a legal contract (“Contract”) between you and Doctors Hub Nepal, which is related to your visit to the website and your utilization of the Services (as explained below).

The Contract is applicable to you if you are -

A health care professional or provider (could be an individual or an organization) or a similar institution who wishes to be listed, or is already listed, on the website, including the designated, authorized associates of such professionals or institutions (“Professional(s)”, “you” or “User”); or An individual seeking medical practitioners through the website, or their representatives or affiliates (“End-User”, “you” or “User”); or Simply, a user of the website (“you” or “User”). This Contract is applicable to the services provided by Doctors Hub Nepal on the website, which are offered at no cost to the Users (“Services”), including the following:

For Professionals: The website will feature a list of professionals, their profiles, and contact information, accessible to other users and visitors of the website; For other Users: The website provides the ability to (i) establish and manage ‘Health Accounts’, (ii) search for professionals by name, specialty, and location, or any other criteria that may be introduced and made available by Doctors Hub Nepal, and (iii) schedule appointments with professionals. The Services may be altered periodically, at the sole discretion of Doctors Hub Nepal, and the Contract will govern your visit to and your use of the website to avail the Service, as well as all information you provide on the website at any given moment.

This Contract outlines the terms and conditions for using the website and explains how we will manage your account while you are registered with us. If you have any queries about any part of the Contract, please feel free to reach out to us at [email protected].

By downloading or accessing the website to use the Services, you irrevocably agree to all the conditions outlined in this Contract, the Subscription Terms of Service and Privacy Policy, as available on the website, and commit to adhere to them. This Contract supersedes all prior oral and written terms and conditions (if any) communicated to you regarding your use of the website to avail the Services. By using any Service, you indicate your acceptance of the terms of this Contract.

We reserve the right to change or terminate any part of the Contract for any reason and at any time, and such changes will be communicated to you in writing. You should review the Contract regularly. Your continued use of the website following any such change implies your agreement to adhere to and be bound by the modified Contract.

You acknowledge that you will be bound by this Contract for availing any of the Services offered by us. If you disagree with any part of the Contract, please refrain from using the website or availing any Services.

Your access to and use of the website and the Services will be solely at the discretion of Doctors Hub Nepal.

  1. USAGE TERMS:
    You need to be at least 18 years old to register, use the Services, or visit or use the Website in any way. By registering, visiting, and using the Website or accepting this Contract, you assure Doctors Hub Nepal that you are at least 18 years old, and that you possess the right, authority, and ability to use the Website and the Services available through the Website, and agree to and comply with this Contract.

USAGE TERMS APPLICABLE TO ALL USERS EXCEPT PROFESSIONALS The terms in this Section 2 apply only to Users who are not Professionals.

2.1.USER ACCOUNT AND PRIVACY OF DATA 

2.1.1 The terms “personal information” and “sensitive personal data or information” are defined in the Privacy Policy. 


2.1.2 Through its Services, Doctors Hub Nepal may collect information related to the devices you use to access the Website, and anonymous data about your usage. The collected information will solely be used to enhance the quality of Doctors Hub Nepal’s services and to develop new services. 

2.1.3 The Website enables Doctors Hub Nepal to access registered Users’ personal email or phone number, for communication purposes to provide you with a more efficient way of scheduling appointments and for obtaining feedback regarding the Professionals and their practice. 

2.1.4 The Privacy Policy outlines, among other things: The kind of information gathered from Users, including sensitive personal data or information; The purpose, means, and methods of using such information; How and to whom Doctors Hub Nepal will disclose such information. 

2.1.5 The User is expected to read and understand the Privacy Policy, to ensure that he or she is aware of, among other things: the fact that certain information is being collected; the reason for collecting the information; the intended recipients of the information; the nature of collection and retention of the information; and the name and address of the entity collecting the information and the entity that will retain the information; and the various rights available to such Users concerning such information. 

2.1.6 Doctors Hub Nepal will not be responsible in any way for the authenticity of the personal information or sensitive personal data or information provided by the User to Doctors Hub Nepal or to any other person acting on behalf of Doctors Hub Nepal. 

2.1.7 The User is responsible for maintaining the confidentiality of the User’s account access information and password if the User is registered on the Website. The User will be responsible for all usage of the User’s account and password, whether or not authorized by the User. The User should immediately inform Doctors Hub Nepal of any actual or suspected unauthorized use of the User’s account or password. While Doctors Hub Nepal will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of Doctors Hub Nepal or such other parties as the case may be, due to any unauthorized use of your account. 

2.1.8 If a User provides any information that is untrue, inaccurate, outdated, or incomplete (or becomes untrue, inaccurate, outdated, or incomplete), or Doctors Hub Nepal has reasonable grounds to suspect that such information is untrue, inaccurate, outdated, or incomplete, Doctors Hub Nepal reserves the right to discontinue the Services to the User at its sole discretion. 

2.1.9 Doctors Hub Nepal may use such information collected from the Users from time to time for the purposes of debugging customer support related issues.

2.1.10 For every Practitioner listed on Doctors Hub Nepal.com, there may be an option to ‘show number’. When you select this option, you opt to dial the number via a complimentary telephony service provided by Doctors Hub Nepal, and the records of such calls are captured and stored on Doctors Hub Nepal’s servers. These calls will include an IVR message that explains the reason for recording your calls and your agreement to such recordings, which are handled according to the Privacy Policy. Doctors Hub Nepal may access these records for quality assurance and support purposes, and they are managed strictly in line with the terms of the Privacy Policy. The call facility provided by Doctors Hub Nepal should be utilized solely for scheduling and booking appointments, not for health-related consultations. Doctors Hub Nepal disclaims any liability if the call facility is misused. Doctors Hub Nepal may also decide to bypass this facility and display the practitioner’s direct number. If you choose not to give your consent to record your calls that may contain personal information needed for appointment and booking purposes, Doctors Hub Nepal reserves the right to withhold the Services that require such personal information.

2.2 ALGORITHM FOR RELEVANCE

The relevance algorithm of Doctors Hub Nepal is a fully automated system that displays the Practitioners, their profiles, and practice-related information on its website. The Practitioners’ listings do not imply any definitive ranking or endorsement by Doctors Hub Nepal. Doctors Hub Nepal will not be accountable for any changes in the Practitioners’ relevance on search results, which may occur periodically. The Practitioners’ listing is based on an automated calculation of various factors, including user inputs like comments and feedback. These factors may change over time to enhance the listing algorithm. Doctors Hub Nepal will not be held accountable for the accuracy or relevance of the Practitioners’ listing order on the website.

2.3 INFORMATION LISTING AND DISSEMINATION 

2.3.1 Doctors Hub Nepal gathers and displays relevant information about the Practitioners listed on the website, such as their specialization, qualifications, fees, location, visiting hours, and other similar details, either directly or indirectly. Doctors Hub Nepal makes reasonable efforts to update this information regularly. Despite these efforts, Doctors Hub Nepal cannot be held responsible for any inaccuracies or incompleteness in the information and photos provided by the Practitioners. 

2.3.2 The services offered by Doctors Hub Nepal or any of its licensors or service providers are provided “as is” and “as available”, without any warranties or conditions (express or implied). Doctors Hub Nepal does not make any guarantees or assurances, express or implied, about the website or the services. Doctors Hub Nepal does not guarantee the accuracy or completeness of any content or information provided by users on the website. To the maximum extent permitted by law, Doctors Hub Nepal disclaims all liability arising from the user’s use or reliance on the website, the services, representations and warranties made by other users, or any opinion or suggestion given by Doctors Hub Nepal or any user regarding any user or services provided by such user. 

2.3.3 The website may contain links to third-party websites, affiliates, and business partners. Doctors Hub Nepal has no control over these websites and is not responsible or liable for the content, accuracy, validity, reliability, or quality of these websites. The inclusion of any link on the website does not imply that Doctors Hub Nepal endorses the linked site. Users may use these links and services at their own risk. 

2.3.4 Doctors Hub Nepal is not responsible for any damages to the user’s equipment due to access to, use of, or browsing the website, or downloading any material, data, text, images, video content, or audio content from the website. If a user is dissatisfied with the website, their only recourse is to stop using the website.

2.3.5 If Doctors Hub Nepal finds that you have given false, incorrect, or incomplete information, including feedback, it reserves the right to instantly suspend your access to the Website or any of your accounts with Doctors Hub Nepal. It may also declare this on the website next to your name or your clinic’s name as determined by Doctors Hub Nepal for its business protection and in the interest of Users. You will be responsible for compensating Doctors Hub Nepal for any losses caused by your false representations or fraudulent feedback that has negatively impacted Doctors Hub Nepal or its Users.

2.3.6 The data published under “Industry wide city-wise Pricing Graph” is obtained from a benchmarking group deemed relevant by Doctors Hub Nepal in the respective city. This information is published by Doctors Hub Nepal for guidance purposes, and it does not have the capability to verify the accuracy of the data on which the information is based. Nor does it have any obligation to disclose the source of the underlying datasets used to publish this information. Doctors Hub Nepal is not responsible in any way for any consequences arising from the use of the published information.

2.4 APPOINTMENT BOOKING AND CALL SERVICE

Doctors Hub Nepal provides Users with two ways to connect with Practitioners: a) A booking service that allows Users to schedule an appointment through the Website; b) Added-value phone services that connect Users directly to the Practitioner’s number listed on the Website.

2.4.1 Doctors Hub Nepal will ensure that Users are given confirmed appointments through the booking service. However, Doctors Hub Nepal is not liable if such an appointment is later cancelled by the Practitioner, or if the same Practitioner is not available for the appointment. Unless it falls under the categories listed under the Doctors Hub Nepal Guarantee Program, in which case the program’s terms will apply.

2.4.2 If a User has used the phone services, Doctors Hub Nepal reserves the right to share the User’s provided information with the Practitioner and store such information and/or the User’s conversation with the Practitioner, in line with our Privacy Policy.

2.4.3 The results of any search performed by Users on the Website for Practitioners should not be interpreted as an endorsement by Doctors Hub Nepal of any specific Practitioner. If the User chooses to engage with a Practitioner for medical services, the User does so at their own risk.

2.4.4 Notwithstanding the generality of the above, Doctors Hub Nepal does not participate in providing any healthcare advice or medical diagnosis and is therefore not accountable for any interactions between the User and the Practitioner. The User acknowledges and agrees that Doctors Hub Nepal will not be held responsible for: Issues related to User interactions with the Practitioner; The capability or intention of the Practitioner(s), or the absence thereof, in meeting their obligations to Users; Any incorrect medication or treatment quality provided by the Practitioner(s), or any medical negligence on the part of the Practitioner(s); Inappropriate treatment, or similar issues or any kind of inconvenience experienced by the User due to a failure of the Practitioner to provide agreed Services; Any misconduct or inappropriate behavior by the Practitioner or the Practitioner’s staff; Cancellation or no show by the Practitioner or rescheduling of booked appointment or any change in the fees charged, provided these have been addressed under the Doctors Hub Nepal Guarantee Program. 

2.4.5 Users are permitted to give feedback about their experiences with the Practitioner, however, the User must ensure that it is provided in accordance with applicable law. However, the User understands that Doctors Hub Nepal is not obligated to take action in a way that may be necessary to implement the content of Users feedback, such as suggestions for delisting a particular Practitioner from the Website. 

2.4.6 In the event of a ‘Patient-No-Show (P.N.S)’, where the User does not appear at the concerned Practitioner’s clinic: The User’s account will be temporarily barred from making further online appointments on Doctors Hub Nepal.com for the next four (4) months, in the case of three (3) Valid PNS, as per the Patient-No-Show Policy. However, the User can continue to call the clinic via [email protected] to schedule an appointment.
For the purpose of these Terms and Conditions, a Patient-No-Show (P.N.S) is defined as any instance where a User, who has booked an appointment on the Website using the Book Appointment feature, fails to attend the appointment without prior cancellation, rescheduling, or notification to the Practitioner. If the Practitioner informs Doctors Hub Nepal of the incident or marks a specific appointment as P.N.S using the Doctors Hub Nepal Ray software or Doctors Hub Nepal Pro App within five (5) days of the scheduled appointment, an email and SMS (“PNS Communication”) will be sent to the User to confirm the incident with reasons. If the User cannot prove that they had a legitimate reason as per Clause 2.4.6© for not attending, Doctors Hub Nepal has the right to take actions as per Clause 2.4.6 (a). However, Users understand that actions such as those mentioned under Clause 2.4.6(a) are included to prevent Users from misusing the Website and to compensate for the Practitioner’s lost business hours.

The following instances, solely at the discretion of Doctors Hub Nepal, would be considered as valid cases of PNS (“Valid PNS”), in which case the User will be penalized as per Clause 3.4.6 (a):

• The User does not respond within seven (7) days, with reasons to PNS Communication, from the date of receipt of such PNS Communication;
• The User responds to the PNS Communication with reasons such as:
o Forgot the appointment
o Chose to visit another Practitioner/consulted online
o Busy with other work
o Or any other reasons (which Doctors Hub Nepal at its discretion decides to be a valid reason for not showing up).

If the User has booked a paid appointment and is unable to visit the Practitioner due to genuine reasons such as sickness etc., at the sole discretion of Doctors Hub Nepal and after conducting an investigation, the User will be provided with a refund of the payment made by the User at the time of booking. However, if cancellation charges have been applied, the User would not be entitled to a full refund.

Doctors Hub Nepal reserves the right to make the final decision in case of a conflict. The total aggregate liability of Doctors Hub Nepal with respect to any claims made herein shall be NPR 200.

2.4.7 Policy for Cancellation and Refund 

If the Practitioner, with whom the User has scheduled a paid appointment via the Website, is unable to meet the User, the User must email us at [email protected] within five (5) days of such event. In this case, the full consultation fee as stated on the Website will be refunded to the User in the original payment method used by the User at the time of booking within the next five (5) to six (6) business days. If the User fails to show up for the appointment booked with a Practitioner without prior cancellation, the amount will not be refunded and will be treated as per Clause 2.4.6. However, if cancellation charges have been applied (as charged by the Practitioner/Practice), the User would not be entitled to a full refund even if they cancelled in advance.

Users will not be eligible for any refunds in situations where the Practitioner is unable to meet the User at the exact scheduled appointment time and the User is required to wait, regardless of whether the User is required to wait or chooses not to receive the medical services from the said Practitioner.

2.5 NO ESTABLISHED MEDICAL RELATIONSHIP; NOT SUITABLE FOR EMERGENCIES 

2.5.1 Be aware that some of the content, text, data, graphics, images, advice, suggestions, and other materials (collectively referred to as “Information”) available on the Website (including responses to your inquiries or posts) may be provided by medical professionals. However, this Information does not establish a licensed medical professional/patient relationship between you and Doctors Hub Nepal, nor does it serve as medical advice, diagnosis, or treatment for any specific condition. It is merely intended to help you find appropriate medical care from a qualified practitioner. 

2.5.2 We explicitly state that the Information you obtain or receive from Doctors Hub Nepal, its employees, contractors, partners, sponsors, advertisers, licensors, or others on the Website is solely for informational purposes. We make no promises, claims, or guarantees, either explicit or implicit, regarding professional qualifications, work quality, expertise, or other information provided on the Website. We shall not be held responsible for any decisions or actions you take based on this information. 

2.5.3 The Services are not meant to replace contacting emergency healthcare. If you, as an End-User, are dealing with a medical emergency (for yourself or someone else), please reach out to an ambulance service or hospital directly.

2.7 DOCTORS HUB NEPAL HEALTH FEED 

The terms & conditions for the Doctors Hub Nepal Health Feed apply to all Users, including both end-users and Practitioners. However, it’s important to note that certain terms and conditions apply specifically to Practitioners, while others apply to Users, as indicated in the context.

2.7.1 The Doctors Hub Nepal Health Feed is an online platform on the Website where Practitioners who have a Doctors Hub Nepal profile can log in and post content related to health and wellness.

2.7.2 Practitioners can utilize the Doctors Hub Nepal Health Feed by logging into their health account, creating original content that may include text, audio, video, images, data, or a combination thereof (“Content”), and uploading this Content to Doctors Hub Nepal’s servers. Doctors Hub Nepal provides a gallery of images licensed from a third-party stock image provider (“Doctors Hub Nepal Gallery”) for User use. Users can upload their own images or select an image from the Doctors Hub Nepal Gallery. Doctors Hub Nepal does not guarantee the ownership of the intellectual property in the Doctors Hub Nepal Gallery, and the User acknowledges that they use the images from the Doctors Hub Nepal Gallery at their own risk. The Content uploaded via Doctors Hub Nepal Health Feed is not to be interpreted as medical advice.

2.7.3 Practitioners acknowledge that they are the original authors and creators of any Content they upload via Doctors Hub Nepal Health Feed and that no uploaded Content infringes on the intellectual property rights of others. Doctors Hub Nepal reserves the right to remove any Content it deems as violating the intellectual property rights of others, including but not limited to patents, trademarks, copyrights, or other proprietary rights. Practitioners agree to release Doctors Hub Nepal from and indemnify Doctors Hub Nepal against all claims arising from any third-party intellectual property right claim related to the Practitioner’s uploaded Content on the Doctors Hub Nepal Health Feed. Practitioners may not use the images in the Doctors Hub Nepal Gallery for any purpose other than creating and uploading Content to Doctors Hub Nepal Health Feed. Practitioners also agree to release Doctors Hub Nepal from and indemnify Doctors Hub Nepal against all claims arising from any third-party intellectual property claim if the Practitioner downloads, copies, or otherwise uses an image from the Doctors Hub Nepal Gallery for their personal or commercial benefit.

2.7.4 The Practitioner agrees to transfer to Doctors Hub Nepal, forever and globally, all intellectual property rights in any Content they create and upload via Doctors Hub Nepal Health Feed.

2.7.5 Doctors Hub Nepal reserves the right to modify or delete the Content and any comments as it sees fit at any time.

2.7.6 The Practitioner must ensure that the Content or any additional responses to the Content (including responses to Users) are not harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, or libelous in any way. Moreover, the Practitioner should ensure that the Content does not invade anyone else’s privacy, or contain any elements that are hateful, racially or ethnically objectionable, disparaging, or otherwise illegal in any way. Doctors Hub Nepal reserves the right to remove any Content that it deems, at its discretion, to be in violation of these Terms and Conditions or any law or statute in effect at the time. The Practitioner also agrees to release Doctors Hub Nepal from and indemnify Doctors Hub Nepal against all claims that may arise as a result of any legal claim related to the nature of the Content posted by the Practitioner on Doctors Hub Nepal Health Feed.

2.7.7 The Practitioner must ensure that no part of the Content violates any law currently in effect.

2.7.8 The Practitioner must ensure that the Content does not threaten the unity, integrity, defense, security, or sovereignty of Nepal, friendly relations with foreign states, or public order. Furthermore, the Practitioner must ensure that the Content will not incite the commission of any cognizable offense or hinder the investigation of any offense or is insulting to any other nation.

2.7.9 Users may also use Doctors Hub Nepal Health Feed to view original content created by Practitioners and to create and upload comments on such Content, where permitted (“User Comment”).

2.7.10 Users acknowledge that the User Comment represents the views and opinions of the authors of such Content and do not necessarily reflect the views of Doctors Hub Nepal.

2.7.11 The User agrees that the Content they access on Doctors Hub Nepal Health Feed does not constitute medical advice in any form. Any actions or omissions by the User based on their interpretation of the Content are solely the User’s responsibility. The User agrees to release Doctors Hub Nepal from, and indemnify them against, all claims that may arise due to the User’s actions resulting from viewing Content on Doctors Hub Nepal Health Feed.

2.7.12 The User acknowledges that all intellectual property rights in the User Comment on Doctors Hub Nepal Health Feed belong to Doctors Hub Nepal. The User agrees not to violate Doctors Hub Nepal’s intellectual property by copying or plagiarizing content on Doctors Hub Nepal Health Feed. Doctors Hub Nepal reserves the right to take all necessary legal actions in case of such an infringement by the User. Also, the User Comment will be the exclusive intellectual property of Doctors Hub Nepal. The User agrees not to post User Comments that would infringe on the intellectual property of any third party, including but not limited to patents, trademarks, copyrights, or other proprietary rights. Doctors Hub Nepal reserves the right to remove any User Comment which it determines, at its discretion, violates the intellectual property rights of any third party. The User agrees to release Doctors Hub Nepal from, and indemnify them against, all claims that may arise as a result of any third-party intellectual property right claim that may arise from the User Comment.

2.7.13 The User must ensure that the User Comment is not harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, or libelous in any way. Furthermore, the User should ensure that the User Comment does not invade anyone else’s privacy, or contain any elements that are hateful, racially or ethnically objectionable, disparaging, or otherwise illegal in any way. Doctors Hub Nepal reserves the right to remove any Content which it determines, at its discretion, violates these Terms and Conditions or any law or statute in effect at the time. Also, the User agrees to release Doctors Hub Nepal from, and indemnify them against, all claims that may arise as a result of any legal claim arising from the nature of the User Comment.

2.7.14 The User must ensure that the User Comment does not threaten the unity, integrity, defense, security, or sovereignty of Nepal, friendly relations with foreign states, or public order. Furthermore, the User must ensure that the User Comment will not incite the commission of any cognizable offense or hinder the investigation of any offense or is insulting to any other nation.

2.8 OWNERSHIP OF CONTENT AND COPYRIGHT ACCESS CONDITIONS 

2.8.1 The content displayed on the Website is either (i) generated by the User, or (ii) owned by Doctors Hub Nepal. Any information gathered by Doctors Hub Nepal, either directly or indirectly from the End-Users and the Practitioners, is the property of Doctors Hub Nepal. Unauthorized copying of the copyrighted content published by Doctors Hub Nepal on the Website for commercial use or profit-making purposes is a copyright violation, and Doctors Hub Nepal reserves its rights under the relevant law.

2.8.2 Doctors Hub Nepal grants the User permission to view and access the content on the Website solely for the purposes of ordering, receiving, delivering, and communicating in accordance with this Agreement. The content of the Website, including information, text, graphics, images, logos, button icons, software code, design, and the collective arrangement and assembly of content on the Website (collectively, “Doctors Hub Nepal Content”), is the property of Doctors Hub Nepal and is protected under copyright, trademark, and other laws. The User is not permitted to alter the Doctors Hub Nepal Content or reproduce, display, publicly perform, distribute, or otherwise use the Doctors Hub Nepal Content for any public, commercial, or personal gain.

2.8.3 The User is not allowed to access the Services for the purpose of monitoring their availability, performance, or functionality, or for any other benchmarking or competitive purposes.

2.9 PATIENT NARRATIVES 

By using this Website, you agree that any information you share with Doctors Hub Nepal or any Practitioner will be governed by our Privacy Policy.

You are solely responsible for the content you choose to submit for publication on the Website, including any patient narratives or recommendations (“Critical Content”) related to Practitioners or other healthcare professionals. Doctors Hub Nepal’s role in publishing Critical Content is limited to that of an ‘intermediary’. Doctors Hub Nepal disclaims all responsibility regarding the content of Critical Content, and its role concerning such content is limited to its obligations as an ‘intermediary’ under the said Act. Doctors Hub Nepal is not obligated to pay any compensation to any User for republishing any content across any of its platforms.

The posting of patient narratives on the Website is regulated by Clause 5 of these Terms. In accordance with the specifics outlined in Clause 5, you consent to refrain from uploading or disseminating any material on the Website that (a) breaches any third-party intellectual property or publicity or privacy rights, or (b) contravenes any relevant law or regulation, including but not limited to the IG Rules and SPI Rules. Doctors Hub Nepal reserves the right to withhold the publication of your patient narratives if necessary under applicable law, in line with Clause 5 of these Terms. You acknowledge that Doctors Hub Nepal may reach out to you via phone, email, SMS, or any other electronic communication method for the purpose of:
Gathering feedback about the Website or Doctors Hub Nepal’s services; and/or 
Collecting feedback about any Practitioners listed on the Website; and/or 
Addressing any complaints, information, or queries by Practitioners about your Critical Content; and you commit to fully cooperate with such communication from Doctors Hub Nepal. The Feedback Collection and Fraud Detection Policy of Doctors Hub Nepal is attached as the Schedule to these Terms and is always subject to these Terms.

2.10 RECORDS 

Doctors Hub Nepal might offer End-Users a complimentary feature known as ‘Records’ on its mobile application ‘Doctors Hub Nepal’. The information in your Records can be categorized into two types:

User-created: Information that you upload or information generated during your interaction with the Doctors Hub Nepal ecosystem, for example: appointment, medicine order placed by you. 
Practice-created: Health Records produced through your interaction with a Practitioner who utilizes ‘Doctors Hub Nepal Ray’ or other Services of Doctors Hub Nepal software.

The specific conditions related to the Health Account are as follows, without affecting the rest of these Terms and the Privacy Policy:

2.10.1 Your Records are only established once you have registered and explicitly agreed to these Terms. 

2.10.2 Any Health Record created by a Practice is offered as-is, solely at the intent, risk, and responsibility of the Practitioner. Doctors Hub Nepal does not verify this information and makes no assertions about it. If you wish to highlight any inconsistencies or add, delete, or alter the Health Record in any way, you should contact the relevant Practitioner. 

2.10.3 Health Records are provided as-is. While Doctors Hub Nepal strives to ensure the highest levels of service availability, it is not responsible for any disruptions that may occur to your access to the Services. 

2.10.4 The reminder provided by the Records is merely an additional method of reminding you to carry out your activities as prescribed by your Practitioner. In the case of any medicine reminders provided by Doctors Hub Nepal, you should consult your prescription before taking any medicines. Doctors Hub Nepal is not liable if reminders are not delivered to you, are delivered late, or are delivered incorrectly, despite its best efforts. If you do not want to receive the reminders, you can disable them through the Doctors Hub Nepal app. 

2.10.5 It’s your responsibility to keep your correct mobile number and email ID updated in the Records. The Health Records will be sent to the Records linked with this mobile number and/or email ID. We will send a confirmation every time you change any contact information (mobile or email). Doctors Hub Nepal is not liable for any loss or inconvenience caused by your failure to update your contact details with Doctors Hub Nepal. 

2.10.6 Doctors Hub Nepal employs industry-level security and encryption for your Health Records. However, Doctors Hub Nepal does not guarantee to prevent unauthorized access if your login credentials are lost or otherwise compromised. If you become aware of any unauthorized use or access, you should immediately notify Doctors Hub Nepal. Please protect your login credentials and report any actual or suspected account breach to [email protected]. 

2.10.7 If you access your dependents’ Health Records by registering your dependents with your own Records, you are considered to be responsible for the Health Records of your dependents and all obligations that your dependents would have had if they had maintained their own separate individual Records. You agree that it is solely your responsibility to obtain the prior consent of your dependent and have the right to share, upload, and publish any sensitive personal information of your dependent. Doctors Hub Nepal assumes no liability for any claim, dispute, or liability arising in this regard, and you shall indemnify Doctors Hub Nepal and its officers against any such claim or liability resulting from unauthorized use of such information.

The specific conditions related to your Health Account are as follows:

2.10.8 If you wish to erase your Records, you can do so by reaching out to our customer service team. However, only your account and any linked Health Records will be removed, while your Health Records held by your Practitioners will continue to be stored in their individual accounts. 

2.10.9 You might lose your “User created” record if the data is not synchronized with the server. 

2.10.10 If the Health Record is not accessed for a certain period, you may be unable to access your Health Records for security reasons. 

2.10.11 Doctors Hub Nepal is not responsible if, for any reason, Health Records are not delivered to you or are delivered late, despite its best efforts. 

2.10.12 The Health Records are shared with the phone numbers provided by your Practitioner. Doctors Hub Nepal is not accountable for adding the Health Records with incorrect numbers if those incorrect numbers are supplied by the Practitioner. 

2.10.13 Doctors Hub Nepal is not responsible or liable for any content, fact, Health Records, medical deduction, or the language used in your Health Records whatsoever. Your Practitioner is solely responsible and liable for your Health Records and any information provided to us, including but not limited to the content in them. 

2.10.14 Doctors Hub Nepal reserves the right to withdraw Health Records without any prior notice if they are found to be shared incorrectly or inadvertently. 

2.10.15 Doctors Hub Nepal will adhere to the law of the land in case any constitutional court or jurisdiction mandates the sharing of the Health Records for any reason. 

2.10.16 You agree and acknowledge that Doctors Hub Nepal may need to access the Health Record for cases such as any technical or operational issue of the End User in access or ownership of the Records. 

2.10.17 You acknowledge that the Practitioners you are visiting may use Doctors Hub Nepal’s software or third-party software for the functioning of the Practitioner’s business and Doctors Hub Nepal’s services, including but not limited to the usage and storage of Records (as defined in Section 3.10) in Nepal and outside Nepal, in accordance with the applicable laws. 

2.10.18 To the extent that your Records have been shared with Doctors Hub Nepal or stored on any of the Doctors Hub Nepal products used by Practitioners you are visiting, and may have visited in the past, you hereby agree to the storage of your Records by Doctors Hub Nepal pertaining to such previously visited clinics and hospitals who have partnerships with Doctors Hub Nepal for the purposes of their business and for Doctors Hub Nepal’s services, including but not limited to the usage and storage of Records (as defined in Section 3.10) in Nepal and outside Nepal, in accordance with the applicable laws. Furthermore, upon the creation of your account with Doctors Hub Nepal, you agree to the mapping of such Records as may be available in Doctors Hub Nepal’s database to your User account.
Promote content and activities which are illegal in nature;

2.11 Doctors Hub Nepal Q&A 

2.12.1 Terms for Practitioners: 

Every Practitioner on the Q&A Platform must possess qualifications in the field of expertise they claim to have. The Q&A Platform serves as a medium for the exchange of general information in a question and answer format. 
It is not intended for emergency situations. No Q&A interaction can be interpreted as a medical consultation with the Practitioner in any way. Users of Doctors Hub Nepal may post questions related to medical issues (“Querist”), and these queries can be responded to by multiple Practitioners on the Q&A Platform. 
It is explicitly stated that no doctor-patient relationship is formed between the Querist and Practitioner through this Q&A process. The Practitioner may offer potential perspectives, recommendations, suggestions, and solutions to the question posed by a Querist. 
However, it is explicitly stated that such perspectives, recommendations, suggestions, and solutions should not be interpreted as medical advice. The individual in question (whether a Querist or not) is advised to consult with a doctor regarding this matter. 
Practitioners should not share their personal, religious, and/or moral views with the Querist when providing their response. The Practitioner is not permitted to issue and/or prescribe any medicines on the Q&A platform. It is a platform solely for the exchange of information and does not provide consultation or medical advice. 
The Practitioner is strictly and expressly forbidden to: 
Provide a medical diagnosis; Issue a prescription; 
Post any response containing derogatory language, objectionable, pornographic, and/or offensive content; 
Promote any brand of drugs, supplements, vaccines, and medications in any way; Advertise to/solicit patients in any way, including but not limited to using social media handles (e.g., Facebook, Twitter, etc.), telephone/mobile numbers, YouTube, and address; 
Promote content and activities that are illegal.
If there’s any violation of the QA Terms & Conditions, Doctors Hub Nepal reserves the right to take necessary actions, which could range from issuing warnings to removing the Practitioner from the Q&A Platform. These actions will be determined on a case-by-case basis.

The Practitioner alone will be responsible for any liability resulting from their responses. The Q&A Platform, provided by Doctors Hub Nepal, is merely a medium for sharing and exchanging information.

Doctors Hub Nepal will regularly audit the Q&A Platform to ensure Practitioners’ compliance with Paragraph 6. Practitioners agree to this audit, which is not intended for quality control or validation of responses.

The general Terms and Conditions of Doctors Hub Nepal will apply to the QA Terms & Conditions as relevant. Decisions made by Doctors Hub Nepal on issues related to the QA Terms & Conditions and the general Terms and Conditions are final and binding.

2.11.2 Terms for User/Querist:

Before a question is posted on the Q&A Platform, Doctors Hub Nepal will anonymize the personally identifiable information of the querist. As the Q&A Platform is a public forum for information exchange, any question posted by a querist will be publicly visible. Users are advised not to publish any confidential information on the Q&A Platform.

The Q&A Platform should not be used for emergency situations. Users are prohibited from posting any queries/issues containing derogatory language, objectionable, pornographic, and/or offensive content.

Responses provided by the Practitioner on the Q&A Platform should not be interpreted as medical advice. The Q&A Platform is a platform for exchanging general information in a question and answer format, and should not be seen as a medical consultation with the Practitioner.

It’s explicitly stated that no doctor-patient relationship is established between the user and Practitioner through the Q&A. The Practitioner may provide potential views, recommendations, suggestions, and solutions to the posted question. However, these should not be interpreted as medical advice. Anyone (whether a querist or not) is advised to consult with a doctor regarding these matters.

The general Terms and Conditions of Doctors Hub Nepal will apply to the QA Terms & Conditions as relevant. Decisions made by Doctors Hub Nepal on issues related to the QA Terms & Conditions and the general Terms and Conditions are final and binding.

2.12 DOCTORS HUB NEPAL HEALTHPLUS 

2.12.1 Doctors Hub Nepal HealthPlus is a benefit provided as credits in the accounts of the users (“Doctors Hub Nepal HealthPlus”), granted under conditions determined by Doctors Hub Nepal. 

2.12.2 Users can use Doctors Hub Nepal HealthPlus to pay for the following online services on the website:
Online medicine orders;
Online doctor consultations;
Booking health check-ups and diagnostic tests;
Pre-payment for doctor appointments; and
Healthcare plan subscriptions. (These services are collectively known as “Permitted Services”.) 

2.12.3 When a user with Android version 4.31 or above, iOS version 4.24 or above, or via the Doctors Hub Nepal website, uses HealthPlus to pay for any Permitted Services, they can redeem a percentage of the total payment amount using Doctors Hub Nepal HealthPlus. This percentage is determined by Doctors Hub Nepal and can vary. 

2.12.4 Doctors Hub Nepal HealthPlus cannot be converted into cash or transferred to any bank accounts. 

2.12.5 The Doctors Hub Nepal HealthPlus credited to each user may have an associated expiry date. This expiry date:
May change, but will not exceed 2 years;
May be communicated to each user via SMS, email, or in-app notification on the website;
Can be viewed by each user on the designated HealthPlus page on the website. Users acknowledge that Doctors Hub Nepal reserves the right to withdraw Doctors Hub Nepal HealthPlus before the expiry date. 

2.12.6 Doctors Hub Nepal can deny Doctors Hub Nepal HealthPlus to any user at its discretion, even if the user meets the requirements set out in the terms, applicable law, or otherwise. 

2.12.7 Besides the conditions in these terms, the accumulation, use, expiry, or other aspects of Doctors Hub Nepal HealthPlus may be further limited by the terms governing the specific service or facility offered by Doctors Hub Nepal or its business associates. If there’s any inconsistency between these terms and the HealthPlus terms regarding the treatment of Doctors Hub Nepal HealthPlus by a user, the HealthPlus terms will prevail.

TERMS OF USE FOR PRACTITIONERS

The terms in this section 4 apply only to Practitioners.

3.1 LISTING POLICY 

3.1.1 Doctors Hub Nepal collects information about the Practitioners’ profiles, contact details, and practice, both directly and indirectly. Doctors Hub Nepal has the right to remove or display any Practitioner’s profile, with or without notifying the Practitioner. This information is gathered to facilitate interaction with End-Users and other Users. If any information displayed on the Website related to you or your profile is incorrect, you must inform Doctors Hub Nepal immediately so they can make the necessary corrections. 

3.1.2 Doctors Hub Nepal is not responsible for the ranking of Practitioners on external websites and search engines. 
3.1.3 Doctors Hub Nepal is not liable for any losses, damages, injuries, or expenses incurred by the Users due to any disclosures or publications made by Doctors Hub Nepal, where the User has given express or implied consent. If the User has revoked such consent under the Privacy Policy terms, Doctors Hub Nepal is not liable for any losses, damages, injuries, or expenses incurred by the User due to any disclosures made by Doctors Hub Nepal before receiving the revocation. 

3.1.4 Doctors Hub Nepal has the right to moderate Practitioners’ feedback and remove any abusive, inappropriate, or promotional content added on the Website. However, Doctors Hub Nepal is not liable if any inactive, inaccurate, fraudulent, or non-existent Practitioner profiles are added to the Website. 

3.1.5 Practitioners agree that Doctors Hub Nepal has the right to publish the Content provided by Practitioners to a third party, including content platforms. 

3.1.6 When you are listed on Doctors Hub Nepal.com, End-Users may see a ‘show number’ option. When End-Users choose this option, they opt to call your number through a free telephony service provided by Doctors Hub Nepal, and the records of such calls are stored in Doctors Hub Nepal’s servers. These calls have an IVR message stating the purpose of recording your calls and your consent to such recordings, which are handled as per the Privacy Policy. Doctors Hub Nepal may access these records for quality control and support purposes, and they are handled only in accordance with the Privacy Policy terms. The call facility provided by Doctors Hub Nepal should be used only for appointment and booking purposes, not for health-related consultations. Doctors Hub Nepal is not liable if the call facility is not used as per these guidelines. If you choose not to give your consent to record your calls that may contain personal information needed for appointment and booking purposes, Doctors Hub Nepal reserves the right to not provide the Services for which such personal information is required.

3.1.7 As a practitioner, you assure that you will use the services in compliance with the law. Any violation of the law due to your use of these services is solely your responsibility, and Doctors Hub Nepal bears no responsibility for it.

3.2 PROFILE OWNERSHIP AND EDITING RIGHTS 

Doctors Hub Nepal provides practitioners with a tool to update their profile information for easy access. Doctors Hub Nepal owns all the practitioner’s profile and photos and has the right to moderate any changes or updates requested by practitioners. However, Doctors Hub Nepal independently decides whether to approve or reject the requests for changes or updates. You assure that you are legally entitled to upload all content as part of your profile or while using Doctors Hub Nepal’s services, and that such content does not infringe any third-party rights, including intellectual property rights. If Doctors Hub Nepal becomes aware of a violation of this assurance, it may modify or delete parts of your profile information at its discretion, with or without notifying you.

3.3 PATIENT STORIES DISPLAY RIGHTS OF DOCTORS HUB NEPAL 

3.3.1 All Critical Content is created by the users of www.doctorshubnepal.com and the clients of Doctors Hub Nepal customers and practitioners, including the end-users. As a platform, Doctors Hub Nepal does not take responsibility for Critical Content and its role is limited to an ‘intermediary’ under the Information Technology Act, 2000. The role of Doctors Hub Nepal and other legal rights and obligations related to Critical Content are detailed in Clauses 2.9 and 5 of these Terms. Doctors Hub Nepal’s Feedback Collection and Fraud Detection Policy is attached as the Schedule to these Terms. 

3.3.2 Doctors Hub Nepal has the right to collect feedback and Critical Content for all the practitioners, clinics, and healthcare providers listed on the website. 

3.3.3 Doctors Hub Nepal is not obligated to pre-screen, review, flag, filter, modify, refuse, or remove any Critical Content from any service, except as required by law. 

3.3.4 By using the services, you understand that you may encounter Critical Content or other content that you may find offensive or objectionable. Doctors Hub Nepal is not liable for any impact on the practitioner’s business due to negative Critical Content. In this regard, you use the service at your own risk. However, Doctors Hub Nepal, as an ‘intermediary,’ takes necessary steps to comply with the law regarding the publication of Critical Content. The legal rights and obligations related to Critical Content and any other information users seek to publish are detailed in Clauses 2.9 and 5 of these Terms. 

3.3.5 Doctors Hub Nepal will remove information under standards consistent with the law, and is not liable or responsible for Critical Content created by the users. The principles set out for third-party content in the terms of service for the website apply to Critical Content posted on the website. 

3.3.6 If Doctors Hub Nepal determines that you have provided inaccurate information or enabled fraudulent feedback, it reserves the right to immediately suspend any of your accounts with Doctors Hub Nepal and make such a declaration on the website alongside your name/your clinic’s name for the protection of its business and in the interests of users.

3.4 RELEVANCE ALGORITHM 

Doctors Hub Nepal has created a relevance algorithm with the end-user’s best interest in mind. This algorithm, which is purely merit-based and proprietary, may be adjusted periodically to enhance the quality of patient results. It cannot be modified for individual practitioners. Doctors Hub Nepal is not responsible for any impact on a practitioner’s business due to changes in the relevance algorithm.

3.5 INDEPENDENT SERVICES 

Your usage of each service grants you only the rights and responsibilities associated with that specific service, not any other service that may be offered by Doctors Hub Nepal.

3.6 DOCTORS HUB NEPAL ADVERTISING RIGHTS 

Doctors Hub Nepal has the right to display sponsored ads on the website, which will be labeled as “Sponsored ads”. Doctors Hub Nepal is not responsible for the accuracy of the information or claims made in these ads and does not endorse users visiting the sponsored ads page or availing services from them. Doctors Hub Nepal is not liable for the services provided by the sponsors of these ads.

You assure that you will use these services in compliance with the law. Any violation of the law resulting from your use of these services is solely your responsibility, and Doctors Hub Nepal bears no responsibility for it.

3.7 APPOINTMENT BOOKING AND CALL SERVICE 

3.7.1 As a valued partner on our platform, we aim to ensure that the experience on the Doctors Hub Nepal booking platform is beneficial for both practitioners and their users. For all terms and conditions of the booking facility on the Doctors Hub Nepal profile, check the Book Standards. 

3.7.2 The practitioner acknowledges that Doctors Hub Nepal will not be held responsible for any comments or feedback given by any of the users regarding the services provided by the practitioner. The decision to publish, modify, moderate, or mask (as required by law or norms, etc.) the feedback provided by users is solely at the discretion of Doctors Hub Nepal.

3.9 PRACTITIONER COMMITMENT 

The practitioner is and will remain duly registered, licensed, and qualified to practice medicine/provide healthcare and wellness services, in accordance with applicable laws/regulations/guidelines set out by competent authorities. The practitioner will not be part of any agreement that would prevent him/her from practicing medicine within Nepal. The practitioner will always ensure compliance with all applicable laws governing the practitioner and will exercise utmost care in providing consultation/services.

3.10 USE IN PROMOTIONAL & MARKETING MATERIALS 

In recognition of the various services provided by Doctors Hub Nepal to the practitioner, the practitioner will (subject to reasonable review and approval rights): (a) allow Doctors Hub Nepal to include a brief description of the services provided to the practitioner in Doctors Hub Nepal’s marketing, promotional, and advertising materials; (b) allow Doctors Hub Nepal to refer to the practitioner in case studies and related marketing materials; (c) serve as a reference for Doctors Hub Nepal’s existing and potential clients; (d) provide video logs, testimonials, e-mailers, banners, interviews to the news media, and provide quotes for press releases; (e) make presentations at conferences; and/or (f) allow Doctors Hub Nepal to use the practitioner’s name and/or logo, brand images, tag lines, etc., in product literature, e-mailers, press releases, social media, and other advertising, marketing, and promotional materials.

4.RIGHTS AND OBLIGATIONS RELATING TO CONTENT

4.1Doctors Hub Nepal has informed users that they are not allowed to host, display, upload, modify, publish, transmit, update or share any information that:
belongs to someone else and the user does not have the right to use it;
is harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another’s privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner;
harms minors in any way;
infringes any patent, trademark, copyright or other proprietary rights;
violates any law;
deceives or misleads the recipient about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
impersonates someone else;
contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
threatens the unity, integrity, defence, security or sovereignty of Nepal, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation.

4.2 It is forbidden for users to:
• Breach or attempt to breach the security or integrity of the Website or any content from Doctors Hub Nepal;
• Send any information (including job posts, messages, and hyperlinks) via the Website that could interfere with or compete against Doctors Hub Nepal’s services;
• Deliberately provide incomplete, false, or misleading information on the Website;
• Make unsolicited contact with other users;
• Use any device or mechanism (like spiders, robots, avatars, or intelligent agents) to browse or search the Website;
• Try to decode, decompile, disassemble, or reverse engineer any part of the Website;
• Copy or duplicate any of the content from Doctors Hub Nepal or other information available on the Website in any way;
• Frame, hotlink, or deep link any content from Doctors Hub Nepal;
• Bypass or disable any digital rights management, usage rules, or other security features of the software.

4.3 If Doctors Hub Nepal becomes aware, either on its own or through a notification from an affected person in writing or via an email signed with an electronic signature, of any such information as mentioned above, it has the right to disable such information that violates Clauses 4.1 and 4.2. Doctors Hub Nepal also has the right to keep such information and related records for at least 90 (ninety) days for potential investigation by governmental authorities.

4.4 If a user fails to comply with any applicable laws, rules, regulations, or the Agreement (including the Privacy Policy), Doctors Hub Nepal reserves the right to immediately revoke the user’s access or usage rights to the Website and Services and to remove any non-compliant information from the Website.

4.5 Doctors Hub Nepal has the right to share or transfer information generated by users to its affiliates or government authorities as allowed or required by law, and you agree to this transfer. This transfer is only permitted if it is necessary for the execution of a lawful contract between Doctors Hub Nepal or anyone acting on its behalf and the User, or if the User has agreed to the data transfer.
Doctors Hub Nepal respects the intellectual property rights of others, and we are not liable for any infringements of any intellectual property rights.

TERMINATION 5.1 Doctors Hub Nepal holds the right to suspend or terminate a User’s access to the Website and its Services, with or without prior notice, and to utilize any other remedy available under the law in situations where:

• The User violates any terms and conditions of the Agreement;
• A third party reports an infringement of any of its rights as a result of the User’s use of the Services;
• Doctors Hub Nepal is unable to confirm or authenticate any information provided by a User;
• Doctors Hub Nepal has reasonable suspicions of any illegal, fraudulent, or abusive activities carried out by the User; or
• Doctors Hub Nepal, at its sole discretion, believes that the User’s actions may result in legal liability for the User, other Users, or Doctors Hub Nepal, or are against the interests of the Website.

5.2 Once a User’s account is temporarily suspended, indefinitely suspended, or terminated, the User is not allowed to continue using the Website under the same account, a different account, or by re-registering under a new account. Upon termination of an account for the reasons stated above, the User will lose access to data, messages, files, and other materials stored on the Website by the User. The User must ensure that they maintain a continuous backup of any medical services they have provided to comply with their record-keeping processes and practices.

6. LIABILITY LIMITATION 

Under no circumstances, including but not limited to negligence, shall Doctors Hub Nepal, or any of its directors, officers, employees, agents, or providers of content or services (collectively referred to as the “Protected Entities”) be held responsible for any direct, indirect, special, incidental, consequential, exemplary, or punitive damages that result from, or are directly or indirectly related to, the use of, or the inability to use, the Website, its content, materials, and functions, the Services, the User’s provision of information via the Website, lost business, or lost End-Users, even if such Protected Entity has been warned of the possibility of such damages. The Protected Entities shall not be held liable for: the provision of or failure to provide all or any service by Practitioners to End-Users who were contacted or managed through the Website; any content that is posted, transmitted, exchanged, or received by or on behalf of any User or other person on or through the Website; any unauthorized access to or alteration of your transmissions or data; or any other issue related to the Website or the Service. In no event shall the total combined liability of the Protected Entities to a User for all damages, losses, and causes of action (whether in contract or tort, including, but not limited to, negligence or otherwise) resulting from this Agreement or a User’s use of the Website or the Services exceed, in total, NPR. 1000/- (Nepalese Rupees One Thousand Only).

 7. DATA STORAGE AND DELETION 

Doctors Hub Nepal has the right to keep the information gathered from Users through its Website or Services for a duration that is deemed necessary. This duration depends on the nature of the information, the purpose for which it is used, the way it is used, and is in compliance with the SPI Rules. The logs of the computer web server may be kept for as long as required for administrative purposes.

 8.GOVERNING LAW AND DISPUTE RESOLUTION 

8.1 By agreeing to this Agreement, you consent that any contractual obligation between Doctors Hub Nepal and the User will be regulated by the laws of Nepal. 

8.2 Any disagreements, claims, or disputes resulting from or related to this Agreement, including the determination of the extent or applicability of this Agreement to arbitrate, or your utilization of the Website or the Services or information it provides access to, will be resolved through arbitration in Nepal, presided over by a sole arbitrator appointed by Doctors Hub Nepal. 

9. CONTACT INFORMATION GRIEVANCE OFFICER

10.SEVERABILITY

If any provision of the Agreement is held by a court of competent jurisdiction or arbitral tribunal to be unenforceable under applicable law, then such provision shall be excluded from this Agreement and the remainder of the Agreement shall be interpreted as if such provision were so excluded and shall be enforceable in accordance with its terms; provided however that, in such event, the Agreement shall be interpreted so as to give effect, to the greatest extent consistent with and permitted by applicable law, to the meaning and intention of the excluded provision as determined by such court of competent jurisdiction or arbitral tribunal.

11.WAIVER

No provision of this Agreement shall be deemed to be waived and no breach excused, unless such waiver or consent shall be in writing and signed by Doctors Hub Nepal. Any consent by Doctors Hub Nepal to, or a waiver by Doctors Hub Nepal of any breach by you, whether expressed or implied, shall not constitute consent to, waiver of, or excuse for any other different or subsequent breach.
